Terms of Service

By accessing or using Tactix Labs Inc. ("the Service," "we," "us," or "our") at usetactix.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you") and Tactix Labs Inc. We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes by email.

Tactix is a web-based tactical animation platform for football (soccer) coaches, analysts, and teams. The Service allows users to create, animate, export, and share tactical diagrams and motion sequences ("Plays" or "Tactics").

Features vary by subscription tier. The core editor is available at no cost with certain limitations. Premium features including watermark-free exports, 4K resolution, extended share links, and team collaboration require a paid subscription.

To use the Service you must create an account. Authentication is provided by WorkOS. You may register using an email address and password, or via supported OAuth providers (currently Google).

You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials.
• Notify us immediately at contact@usetactix.com of any unauthorized use of your account.
• Be responsible for all activity that occurs under your account.

You must be at least 16 years of age to create an account. By registering, you represent that you meet this requirement.

Tactix offers the following subscription tiers:

• Free: Unlimited tactics, watermarked 1080p exports, 7-day share links.
• Pro ($50/month or $500/year): Watermark-free exports, 4K resolution, 365-day share links, password-protected shares.
• Team ($200/month or $2,000/year): All Pro features, 10 seats, shared folders.
• Enterprise: Custom pricing — contact us for SSO, white-labeling, API access, and SLA.

All payments are processed by Paddle (paddle.com), our Merchant of Record. Paddle handles billing, invoicing, VAT, sales tax collection, and payment disputes on our behalf. By subscribing, you agree to Paddle's Terms of Service and Privacy Policy in addition to these Terms.

Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time through your account billing portal, which is powered by Paddle. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time except where required by applicable law or at Paddle's discretion as Merchant of Record.

We reserve the right to change pricing with at least 30 days' notice to subscribers. Continued use after a price change constitutes acceptance of the new pricing.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any third party.
• Upload, transmit, or distribute malicious code or content.
• Attempt to gain unauthorized access to the Service, its servers, or related systems.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use automated scripts, bots, or scrapers to access the Service without express permission.
• Resell, sublicense, or commercially exploit the Service without authorization.
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate these restrictions, at our sole discretion and without prior notice.

You retain all ownership rights in the tactical diagrams, plays, and other content you create using the Service ("User Content"). By using the Service, you grant Tactix Labs Inc. a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of operating and improving the Service.

You represent and warrant that you have all necessary rights to the User Content you submit and that it does not violate the rights of any third party.

We do not claim ownership of your User Content and will not sell it to third parties. User Content is used only to provide the Service to you.

The Service allows you to generate shareable links to your tactics. Share links created on Free accounts expire after 7 days. Share links on Pro and Team accounts expire after 365 days. Enterprise accounts may receive non-expiring links.

Password-protected share links are available on Pro and above. You are responsible for managing access to your share links and passwords.

Exports on the Free tier include a visible Tactix watermark. Pro and above receive watermark-free exports. You may use exported content for personal and professional purposes consistent with your subscription tier. You may not claim Tactix's export features as your own proprietary software.

The Service, including its software, design, graphics, user interface, and underlying technology, is the exclusive property of Tactix Labs Inc. and is protected by copyright, trademark, and other intellectual property laws.

The Tactix name, logo, and branding are trademarks of Tactix Labs Inc. Nothing in these Terms grants you any right to use our trademarks without prior written permission.

Formations and tactical templates provided by the Service are licensed for use within the platform. They may be exported and used in your professional work but may not be redistributed as standalone template products.

We strive for high availability but do not guarantee uninterrupted access to the Service. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, for maintenance, upgrades, or other operational reasons.

In the event of a material discontinuation of a paid feature, we will provide at least 30 days' notice and offer a pro-rated refund for the affected period where applicable.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME.

Tactical analysis and diagrams produced using the Service are for informational and planning purposes only. Tactix makes no representations regarding the tactical efficacy of any content produced using the Service.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TACTIX LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT MADE ANY PAYMENTS.

You agree to indemnify and hold harmless Tactix Labs Inc., its affiliates, officers, directors, employees, and agents from any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your User Content, or your use of the Service in a manner not authorized by these Terms.

You may terminate your account at any time by contacting us at contact@usetactix.com or through the account settings. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if required by law. We will attempt to notify you before suspension unless immediate action is required.

Upon account termination, your User Content may be deleted after a grace period of 30 days, after which it is permanently removed. You are responsible for exporting any content you wish to retain before termination.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. For users in the European Union, mandatory consumer protection laws of your country of residence shall apply.

Any dispute arising from these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration administered under the rules of the American Arbitration Association, except where prohibited by applicable law. You waive any right to participate in class-action proceedings.

We reserve the right to update these Terms at any time. We will notify registered users of material changes by email at least 14 days before they take effect. The "Last updated" date at the top of this page reflects the date of the most recent revision.

Continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.
